IOLANIV AGENCY — TERMS AND CONDITIONS FOR VTUBER APPLICATION

IolaniV Agency (“IolaniV Agency,” “we,” “us,” or “our”) is excited to announce auditions for individuals interested in becoming part of IolaniV (“Auditions”). These Terms and Conditions (“Terms”) govern your application submission, the audition process, and outline the rights and responsibilities between you and IolaniV Agency concerning any materials you submit as part of your application (“Content”).

By submitting an application, you agree to these Terms.
These Terms include important limitations of your legal rights and remedies, including a requirement to resolve any disputes related to the auditions, application process, or these Terms through binding arbitration instead of court proceedings. If you do not agree to these Terms, please do not submit an application. Your submission will be considered as your acceptance of these Terms.

Please read these Terms and Conditions (“Agreement”) carefully before applying to join IolaniV Agency ("Agency"). By submitting your application, you (“Applicant”) agree to be bound by these terms.

1. ELIGIBILITY

To apply, you must:

  • Be at least 18 years old.

  • Possess the legal capacity to enter into a contract.

  • Not be under any exclusivity agreements with other agencies or organizations that would conflict with IolaniV.

2. APPLICATION PROCESS

  • Applicants must submit accurate and truthful information.

  • Submissions may include personal information, voice samples, character designs, and/or content portfolios.

  • IolaniV reserves the right to contact applicants for interviews or request additional materials.

  • Application materials will be handled in accordance with the Agency’s Privacy Policy.

3. INTELLECTUAL PROPERTY

  • Applicants retain the copyright of submitted original works during the application process.

  • By applying, you grant IolaniV a limited, non-exclusive, royalty-free, and revocable license to review and evaluate your materials.

  • Selected talents may enter into a separate agreement covering the usage, creation, and monetization of character likenesses, voices, and content.

4. CONFIDENTIALITY

  • All internal discussions, selection status, and proprietary information shared by IolaniV during the application process are confidential.

  • Applicants agree not to disclose any such information publicly or to third parties unless authorized in writing.

5. CODE OF CONDUCT

Applicants and affiliated talents agree to:

  • Refrain from hate speech, harassment, discriminatory behavior, and harmful content.

  • Comply with community guidelines on platforms including YouTube, Twitch, TikTok, etc.

  • Represent IolaniV in a professional and respectful manner if selected.

6. DATA PROTECTION

  • IolaniV complies with data protection laws, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).

  • Applicant data is used solely for recruitment and internal review and will not be sold or shared with third parties without consent.

7. DIGITAL TALENT PROTECTION ACT (DTPA) COMPLIANCE

Under our internal adoption of the Digital Talent Protection Act (a protective framework modeled to safeguard online performers), IolaniV commits to:

  • Taking reasonable steps to address doxxing, targeted harassment, and impersonation.

  • Supporting VTubers who face digital threats, including assistance with take downs and legal response.

  • Providing optional anonymity protections in contracts and representation.

8. TERMINATION

  • IolaniV reserves the right to terminate or decline any application without explanation.

  • Applicants may withdraw their application at any time by notifying IolaniV in writing.

  • If misconduct or violation of terms is discovered, the applicant may be barred from future applications.

9. GOVERNING LAW

These Terms are governed by the laws of the State of Oregon. Any disputes shall be resolved through binding arbitration in Oregon.

10. AMENDMENTS

IolaniV may update these Terms at any time. The latest version will be posted publicly, and continued application or affiliation implies acceptance of the revised Terms.
